Terms of Service

Welcome to Millennium Vibe. These Terms of Service ("Terms") govern your access to and use of our platform, including our website, mobile application, and all related services. By creating an account or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Millennium Vibe, you confirm that you are at least 16 years old and that you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use our platform. We may update these Terms from time to time, and your continued use of the platform after such changes constitutes acceptance of the revised Terms.

2. Account Registration

  • You must be at least 16 years old to create an account. If you are under 18, you must have parental or guardian consent.
  • You must provide accurate, complete, and up-to-date information during registration and keep your profile information current.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

3. User Content

  • You retain ownership of all content you create and upload to Millennium Vibe, including posts, comments, course materials, and media files.
  • By posting content on the platform, you grant Millennium Vibe a non-exclusive, worldwide, royalty-free license to host, display, distribute, and make available your content solely for the purpose of operating and providing the platform's services.
  • You must not post content that is illegal, defamatory, harassing, threatening, discriminatory, sexually explicit involving minors, or that infringes on the intellectual property rights of others.
  • We reserve the right to remove any content that violates these Terms or that we reasonably believe is harmful, at our sole discretion and without prior notice.

4. Acceptable Use

You agree not to misuse the platform. In particular, you must not:

  • Use the platform for any unlawful, fraudulent, or deceptive purpose, or in breach of any applicable law.
  • Harass, bully, threaten, defame, or incite violence or hatred against others.
  • Upload or share content that sexualizes minors or constitutes child sexual abuse material; we report such content to the authorities.
  • Post content that infringes the intellectual property, privacy, or other rights of any third party.
  • Distribute malware or spam, send unsolicited bulk messages, or attempt to phish or defraud other users.
  • Scrape or crawl the platform, use automated means to access it, or circumvent rate limits, security, or access controls.
  • Impersonate any person or entity or misrepresent your affiliation with anyone.
  • Circumvent platform fees or payment processing, or solicit users to transact off-platform to avoid fees.
  • Interfere with or disrupt the platform, its servers, or other users' enjoyment of the service.

We may remove content and suspend or terminate accounts that violate this policy, and we may report illegal activity to the relevant authorities.

5. Intellectual Property and Copyright

The platform β€” including its software, design, logos, and the Millennium Vibe name and branding β€” is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform, or remove any proprietary notices.

You must respect the intellectual property rights of others and may only upload content that you own or are authorized to use.

If you believe content on the platform infringes your copyright or other rights, report it using the in-app reporting tools or the contact details below, with enough information to identify the content and your rights.

We will remove infringing content where appropriate and may terminate the accounts of repeat infringers.

6. Creator Terms

  • Creators receive payments through Stripe Connect. By becoming a Creator, you agree to Stripe's Connected Account Agreement and applicable Stripe terms.
  • Millennium Vibe charges a platform fee on each transaction. The current fee percentage is displayed in your Creator dashboard and may be updated with 30 days' notice.
  • Creators are responsible for the accuracy and legality of their content, pricing, and any claims made about their products, courses, or communities.
  • Creators must comply with applicable consumer protection laws regarding refunds. The platform provides tools for managing refunds through Stripe.
  • Creators are responsible for chargebacks, refunds, and payment disputes relating to their sales; we may deduct these amounts and any associated fees from a creator's balance or future earnings.
  • We may withhold or delay payouts where we reasonably suspect fraud, policy violations, or excessive chargebacks, or where required by our payment provider's rules or applicable law.

7. Payments and Subscriptions

  • All payments are processed securely through Stripe. We do not store your payment card details on our servers.
  • Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • You can cancel a subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided for the remaining period.
  • Prices may be subject to applicable taxes (including VAT) based on your location. Tax amounts are calculated and collected in accordance with applicable law.

8. Third-Party Services

The platform integrates third-party services such as payment processing, file storage, video hosting, and live streaming, and may link to third-party websites. We are not responsible for the content, policies, or practices of third parties, and your use of their services is at your own risk and subject to their terms.

9. Termination

  • You may delete your account at any time from your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.
  • We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible.
  • Upon termination, your right to access the platform ceases immediately. Content you posted in communities may remain visible unless you request its removal.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Millennium Vibe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from your use of the platform shall not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) 100 EUR.

11. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify and hold harmless Millennium Vibe and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your content, your use of the platform, your violation of these Terms, or your infringement of any third-party rights. This does not apply to the extent a claim arises from our own gross negligence or willful misconduct, or where such indemnification is not permitted by applicable law.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. Any disputes arising from or related to these Terms or your use of the platform shall be submitted to the exclusive jurisdiction of the competent courts in Bucharest, Romania. Nothing in these Terms affects your statutory rights as a consumer under EU law.

14. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection law, including the EU/UK General Data Protection Regulation (GDPR). By using the platform, you acknowledge the data practices described in the Privacy Policy.

  • Our Privacy Policy explains what data we collect, the legal bases for processing, how long we retain it, and the rights available to you, including access, portability, and erasure.
  • Creators act as independent data controllers for the personal data of their community members that they access, export, or use to send messages. Creators must comply with applicable data protection law, maintain a lawful basis for their communications, and honor member requests to access or delete their data.
  • You can exercise your data rights at any time from Settings, including exporting your data (Settings β†’ Privacy) and deleting your account (Settings β†’ Danger Zone).

15. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a notice on the platform at least 30 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the modified Terms.
